The legal structure of New South Wales Family Day Care Association (NSWFDCA) will be changing from an Incorporated Association to a Company Limited by Guarantee.
Current NSWFDCA legal structure
Currently, New South Wales Family Day Care Association’s legal structure is an Incorporated Association. Under this legal structure, not-for-profit organisations can operate their primary businesses within one State in Australia, under that State’s legislation.
The activities of a not-for-profit with this legal structure in New South Wales fall under the Associations Incorporation Act 2009 (NSW).
The New South Wales regulator is NSW Fair Trading.
An Incorporated Association is an appropriate structure for a small not-for-profit organisation that conducts business primarily in New South Wales.
Future NSWFDCA legal structure
The preferred future legal structure for NSWFDCA is to become a Company Limited by Guarantee. This is also a not-for-profit legal structure.
This is the most recognised structure nationally and internationally for not-for-profit organisations that are similar in size as NSWFDCA.

Why is the legal structure changing?
There are two main reasons why New South Wales Family Day Care Association (NSWFDCA) must change its legal structure from an Incorporated Association.
- The nature of the Association’s operations and its online presence means that NSWFDCA offers goods and services to people and organisations across Australia. This is deemed to be carrying on a business outside of New South Wales.
- Growth and diversification of revenue streams has tipped NSWFDCA over NSW Fair Trading’s ‘financial threshold’ for an Incorporated Association.
NSWFDCA must now make changes to ensure it is protected under law across the country.
What are the advantages of moving to a Company Limited by Guarantee?
The advantages of moving to Company Limited by Guarantee are:
- Future proofs the organisation.
- Protection under national legislation.
- NSWFDCA can provide goods and services in any state.
- Charitable status and charity tax concessions can be transferred and maintained.
- Identity stays the same.
- Directors can be elected or appointed.
- Modern and flexible constitution that provides clarity.
What changes will occur due to the transition?
Changing to a Company Limited by Guarantee means members will see the New South Wales Family Day Care Association Inc. change to New South Wales Family Day Care Association Ltd.
Changing the legal structure also means that the constitution needs to be changed and Directors will be required to get a Director Identification Number (DIN).
How will the changes impact me as a Member?
The way you interact with NSWFDCA, and the organisation interacts with you as a member, will remain the same.
Any changes that impact you as a member will be discussed by the Reference Group and communicated to you for consideration.

What is the process and timeline to make these changes?
NSWFDCA’s goal is to make these changes at the Annual General Meeting (AGM) in November. At the AGM members will vote on the new structure and aligned resolutions.
Do I need to take any action?
Members will be asked to vote on the proposed change and new constitution at the AGM. It’s important to review the provided materials and participate in the decision-making process.

What are the major changes to the Constitution?

How have the Objects changed in the new Constitution?
The Objects in the new Constitution have been strengthened to provide greater clarity and address confusion caused by the current constitution.
Members should feel confident that the Objects and other clauses in the constitution can be refined at the 2026 AGM.
What will happen if we don't adopt the constitution when we move to a company limited by guarantee?
We need a new constitution to make the transition to a CLG that relates to the Corporations Act as well as the ACNC Act. If we don’t have one that fits a company limited by guarantee that is a charity with DGR status, it’s possible we could lose our charitable and DGR status’s.
What do I do if I need more information?
Please reach to the NSWFDCA or Non Profit Training.
An invitation to an individual briefing from Non Profit Training will be sent shortly. This briefing is optional, but is a good opportunity to ask questions and seek clarification before the AGM.
What will I be voting for at the AGM?
At the Annual General Meeting you will be voting:
- To approve the transfer of New South Wales Family Day Care Association Inc from an incorporated association to a Company Limited by Guarantee.
- To agree on the name of the company as ‘NSW Family Day Care Association Ltd’.
- To adopt the new constitution for the Company.
- That the new constitution will be effective from the date of the transfer to the Company Limited by Guarantee structure.
- The Board members elected at this election will be the initial Directors of the of the company.

Update on Transition to Company Limited by Guarantee
At our State Meeting in September, Non Profit Training delivered a presentation outlining the progress on our transition to becoming a Company Limited by Guarantee. As we approach the Annual General Meeting (AGM) in November, ensuring that all NSW Family Day Care Association (NSWFDCA) members have the information they need is our top priority. This will enable everyone to make an informed decision regarding the adoption of the new legal entity and the associated new constitution.
Member Feedback
Throughout our recent roadshows, State meetings, Reference Groups, and Members forums, we have listened carefully to your feedback. Members have indicated that there are no significant barriers to transitioning to a Company Limited by Guarantee or to adopting the new constitution. This transition is necessary given our national presence and the growth we have achieved as an organisation. By adopting this new legal structure, we are taking important steps to safeguard and future-proof the Association.
Some members have provided valuable input on strengthening the Objects in the proposed new constitution. In response, Non Profit Training has incorporated this feedback and further enhanced the Objects to provide greater clarity. These changes are intended to address confusion caused by the current constitution. If the new constitution is not adopted, the Association will revert to the existing constitution (from 2015), and the current ambiguities will remain. Members should feel confident that the Objects and other clauses in the constitution can be refined at the 2026 AGM.
Next Steps and Member Engagement
Transitioning to a Company Limited by Guarantee is a significant decision that warrants thoughtful consideration from all members. To ensure every member understands the changes, Non Profit Training will be reaching out soon to offer individual briefings. These optional sessions will provide opportunities for members to ask questions and seek clarification ahead of the AGM.

Fact Sheet: How the Members, Board and Staff operate within a Member-owned Peak Body
The NSWFDCA is a member-owned Peak body that represents and advocates on behalf of Family Day Care educators and services. The Association is owned by its members who have a say in governance by attending Annual General Meetings and voting for members of the Association’s Board.
KEY FEATURES OF A BOARD-LED, MEMBER-OWNED PEAK BODY
- Members shape the direction of the organisation through governance structures.
- Board members are often sector peers who are experienced in Family Day Care and passionate about its future.
- Operates with a strong values base, grounded in children’s wellbeing, educator support, and community care.
- Decisions are informed by consultation, collaboration, and consensus-building.

ROLE OF THE BOARD WITHIN A MEMBER-OWNED PEAK BODY
- The board is elected by the members and is accountable to them.
- Duty to act transparently, responsibly and in the best interest of the organisation’s purpose and its membership.
- Provides strategic leadership and ensures the organisation reflects the values and priorities of the Family Day Care community.
- Oversees policy positions, advocacy strategies, and sector engagement.
- Ensures financial sustainability, regulatory compliance, and ethical governance.
- Hires and supports the CEO, who manages daily operations and staff.
The Board consults members on major decisions like setting or changing strategy. Outside of this, members elect the Board to make decisions on their behalf.
BOARD ACCOUNTABILITIES
The Australian Charities and Not-for-profits Commission in Governance Standard 2: Accountability to Members states a Board must:
- Take reasonable steps to be accountable to their members, and
- allow their members adequate opportunities to raise concerns about how the charity is run.
The Board demonstrates their accountability to members by reporting progress against the Association’s goals at the Annual General Meeting. NSWFDCA also runs member forums (currently State Committee Meetings) to seek member input and to provide opportunities for members to raise concerns and ask questions about how the Association is run.

Fiduciary Responsibility: The Board must act in good faith and in the best interests of the members and the organisation. This includes:
- Duty of Care: Make informed decisions with reasonable diligence.
- Duty of Loyalty: Avoid conflicts of interest; act without personal gain.
- Duty of Obedience: Ensure the organisation adheres to its mission and complies with laws and governing documents.
Transparency: Members should be informed about Strategic plans and major decisions, financial performance and use of funds, and Board actions and rationale for significant changes. Transparency can be achieved through regular reports (e.g., annual reports), open meetings, and providing clear communication channels between the Board and members.
Member Engagement and Representation: The Board should reflect and respond to member interests. If the organisation is membership-based, members have the power to vote on key issues such as changes in the constitution and election of Board members.
Performance and Evaluation: The Board must evaluate its own performance in governance and the performance of the organisation in delivering on its mission. Poor performance or misconduct should be addressed openly, with the possibility of member input or formal review.
Legal and Ethical Compliance: The Board must ensure the organisation follows all relevant laws and regulations and operates ethically and in accordance with its constitution, strategy and policies. Failure to do so can damage trust with members.
ROLE OF THE CEO AND STAFF
- Deliver programs, advocacy, member support, training, and services.
- Act as a bridge between Board decisions and member needs.
- Gather sector insights to inform the Board’s decisions.
- Lead partnerships, stakeholder relations, and communications.
- Report to the Board and are accountable for the implementation of the Strategic plan.
BEST PRACTICES FOR EFFECTIVE GOVERNANCE
- Regular member engagement and consultation.
- Clear roles and responsibilities between Board and staff.
- Skilled and diverse Board membership, with training and sector knowledge.
- Transparent decision-making, underpinned by the best interests of members and sector.
- Continuous review of strategy, impact, and alignment with sector needs.

Our Constitutional Review Reference Group has met twice and worked between meetings to develop clear, helpful information to guide members through NSW FDCA’s transition to a Company Limited by Guarantee.
They’ve drafted a modern constitution that reflects how we want to operate in the future—ensuring the Association continues to grow, support members, and remain a strong voice in the sector.
What’s been done so far:
- NPT created a base draft constitution, updating it to align with legal requirements and removing unclear or conflicting clauses.
- The Reference Group met twice to discuss what’s working, what needs improving, and to propose future-focused changes based on best practices and members’ experiences.
- The NSW FDCA Board and CEO have been kept informed throughout.

What happens next:
Now it’s over to you, our members to review and provide feedback on the draft constitution. These are your rules, and they shape how we work together.
It’s important that members understand the key changes and have the chance to engage now. The AGM is not the right time to propose changes, as it could delay the process by months and increase costs for everyone.
This has been a major effort with many people contributing their time to get it right. Over the next month, we’re asking you to:

- Share your feedback

A new constitution is required to change the New South Wales Family Day Care Association’s legal structure from an Incorporated Association to a Company Limited by Guarantee. Following expressions of interest, a Reference Group has been formed to work with Non Profit Training to help guide the development of the new constitution.
