Update on Transition to Company Limited by Guarantee

At our State Meeting in September, Non Profit Training delivered a presentation outlining the progress on our transition to becoming a Company Limited by Guarantee. As we approach the Annual General Meeting (AGM) in November, ensuring that all NSW Family Day Care Association (NSWFDCA) members have the information they need is our top priority. This will enable everyone to make an informed decision regarding the adoption of the new legal entity and the associated new constitution.
Member Feedback

Throughout our recent roadshows, State meetings, Reference Groups, and Members forums, we have listened carefully to your feedback. Members have indicated that there are no significant barriers to transitioning to a Company Limited by Guarantee or to adopting the new constitution. This transition is necessary given our national presence and the growth we have achieved as an organisation. By adopting this new legal structure, we are taking important steps to safeguard and future-proof the Association.
Some members have provided valuable input on strengthening the Objects in the proposed new constitution. In response, Non Profit Training has incorporated this feedback and further enhanced the Objects to provide greater clarity. These changes are intended to address confusion caused by the current constitution. If the new constitution is not adopted, the Association will revert to the existing constitution (from 2015), and the current ambiguities will remain. Members should feel confident that the Objects and other clauses in the constitution can be refined at the 2026 AGM.

Next Steps and Member Engagement

Transitioning to a Company Limited by Guarantee is a significant decision that warrants thoughtful consideration from all members. To ensure every member understands the changes, Non Profit Training will be reaching out soon to offer individual briefings. These optional sessions will provide opportunities for members to ask questions and seek clarification ahead of the AGM.
